Welcome to Fisor Analytics. These Terms and Conditions ("Terms") govern your access to and use of our website, platform, and services (collectively, the "Platform"). By accessing or using our Platform, you agree to be bound by these Terms. If you do not agree, you may not use our Platform.
1. Definitions
- "Fisor Analytics", "we", "us", or "our" refers to the company operating the Platform.
- "User" or "you" means the individual or entity accessing or using the Platform.
- "Insight Engine" refers to our proprietary analytics modules that generate business insights.
- "Services" means all functionality, insights, and tools offered by Fisor Analytics.
- "Third-Party Services" means software, APIs, or infrastructure not owned by Fisor Analytics.
- "Content" refers to all text, images, reports, graphs, code, and other material generated by the Platform.
2. Use of the Platform
You agree to use the Platform only for lawful purposes and in accordance with these Terms. Users must also adhere to any posted Acceptable Use Policy or guidelines published by Fisor Analytics, which may be updated from time to time.
- Use the Platform for lawful purposes only.
- No fraudulent, malicious, or harmful activities.
- No unauthorized copying, distribution, or resale.
- No automated scraping or bots without consent.
- No uploading of malware or attempting to bypass security.
- No creating competitive services using our platform.
- No impersonation or misrepresentation of identity or affiliation.
- No unauthorized access or probing of third-party accounts, systems, or data.
- No sharing or transmission of false, misleading, or defamatory information using the Platform.
- No use of the Platform to perform illegal surveillance or profiling of individuals.
- No high-risk usage in life-support, critical infrastructure, or emergency systems.
The Platform is designed for Canadian businesses with 50–500 employees and $2M+ in revenue. Others may register with approval. Users from jurisdictions outside Canada are solely responsible for ensuring their use complies with local laws. Fisor Analytics may restrict or deny access in certain regions for compliance or risk reasons.
We reserve the right to monitor use of the Platform to ensure compliance with these Terms. We may investigate any activity that appears to violate these Terms or applicable law and may suspend or terminate accounts without notice if violations are found.
If you become aware of any misuse of the Platform or a potential security issue, you agree to notify us immediately at contact@fisoranalytics.org.
3. Account Registration and Security
- You must provide accurate, complete, and up-to-date information when registering for an account.
- Fisor Analytics reserves the right to verify your identity and business credentials prior to granting or continuing access. You agree to provide any documentation we reasonably request to confirm your eligibility.
- Each user must have their own individual account. Shared accounts are prohibited unless explicitly permitted under a written enterprise agreement.
- You may not use another user’s account without express authorization. You must not allow others to access your account and must notify us immediately of any unauthorized access or suspicious activity.
- You are fully responsible for all activity conducted through your account, whether or not authorized by you.
- Accounts that remain inactive for more than 12 months may be suspended or deleted at our discretion. We will make reasonable efforts to notify you using the contact information on file.
- You are responsible for maintaining strong passwords and implementing industry-standard security practices on your devices and systems. Fisor Analytics is not responsible for any loss or damage resulting from insecure user environments.
- Providing false, misleading, or outdated information at any point may result in immediate suspension or termination of your account without notice.
- For team-based or organizational accounts, the designated administrator has full authority to manage users, permissions, and billing. You are responsible for the conduct of all users operating under your organization’s account.
4. Intellectual Property
All software, source code, models, algorithms, visual interfaces, text, reports, images, analytics, and any other content or materials made available through the Platform are the exclusive property of Fisor Analytics and are protected by copyright, trademark, and other applicable laws. You are granted a limited, non-exclusive, non-transferable, and revocable license to access and use the Platform solely as permitted by these Terms.
User-Generated Content
You retain ownership of any content, data, or materials (“User Content”) you upload or input into the Platform. By submitting User Content, you grant Fisor Analytics a perpetual, worldwide, royalty-free, non-exclusive license to:
- Use, process, and store it for the purpose of providing and improving the Platform;
- Generate derivative works such as insights, reports, and visualizations;
- Comply with legal obligations.
You represent that you have all necessary rights and permissions to provide this content and that it does not violate any third-party rights or laws.
AI-Generated Outputs
Insights and reports generated by the Platform’s AI modules are based on proprietary algorithms and datasets. You may use these outputs for internal business purposes only. You may not resell, republish, distribute, or externally market them without express written permission. Outputs are not guaranteed to be unique or patentable. Fisor Analytics retains all rights to the underlying models and methodologies.
Restrictions
- Do not copy, reproduce, duplicate, modify, translate, or create derivative works of any part of the Platform without express written consent.
- Do not sell, sublicense, or exploit the Platform or its contents for commercial purposes outside your internal operations.
- Do not reverse-engineer, decompile, or hack any Platform component.
- Do not remove or obscure copyright, trademark, or proprietary notices.
Trademarks
All trademarks, logos, and service marks displayed on the Platform are the property of Fisor Analytics or its licensors. You may not use them without prior written permission. Unauthorized use constitutes trademark infringement.
Third-Party IP
If you believe your intellectual property has been infringed by the Platform or a user, please contact us at legal@fisoranalytics.org with relevant documentation. We will investigate and respond in accordance with applicable law.
5. Data Use and Privacy
Data Collection
By using the Platform, you consent to our collection of the following types of data:
- Business information (e.g., company name, industry, size, user inputs)
- Usage data (e.g., queries, clicks, traffic logs)
- Technical data (e.g., device ID, browser type, IP address)
- Generated content (e.g., uploaded files, form inputs, feedback)
This data is used to provide, secure, and improve the Platform and related services.
Use of Your Data
We use your data to:
- Deliver core functionality and insights via the Platform
- Improve and train internal AI systems (excluding identifiable data)
- Monitor and benchmark system performance
- Identify misuse, bugs, or abuse
- Comply with regulatory or legal obligations
You agree that anonymized or aggregated data derived from your usage may be used for internal product development, diagnostics, research, or statistical analysis.
Data Confidentiality
Fisor Analytics treats your identifiable business data as confidential and will not disclose it to third parties without your consent, except:
- To comply with legal or regulatory requests
- To investigate and prevent fraud or misuse
- To subprocessors under confidentiality agreements
Public Datasets and External Sources
Our insights may incorporate publicly available data, such as government-released datasets. While we aim for accuracy, we do not control or guarantee the validity of third-party sources.
Data Security
We implement industry-standard security measures, including:
- Encrypted communication (TLS/SSL)
- Encrypted storage (in transit and at rest)
- Access controls and activity logging
However, no system is entirely secure. You are responsible for protecting your own devices and ensuring you do not upload regulated or highly sensitive personal data (e.g., financial, health records).
Subprocessors and Infrastructure Providers
We use third-party services such as Microsoft Azure, Apache Spark, and OpenAI to deliver our services. These subprocessors access your data only as needed and are contractually bound to confidentiality.

Data Retention and Deletion
We retain your data only as long as necessary to operate the Platform, unless required otherwise by law. Upon deletion request:
- Your primary data will be removed within 30 days
- Backup data may persist up to 90 days before automated purge

International Transfers
Your data may be processed in other jurisdictions, including the United States and Europe. We implement appropriate safeguards for cross-border data transfers where legally required.

6. Fees and Payments
Subscription and Billing
Access to certain features of the Platform requires a paid subscription. By subscribing, you agree to:
- Pay the fees associated with your selected plan or custom contract
- Maintain accurate and up-to-date billing information
- Authorize us to charge your chosen payment method on a recurring basis (monthly, quarterly, or annually, as applicable)
Billing cycles will be clearly presented during checkout or in the agreement terms.
Taxes
All fees are exclusive of applicable taxes unless otherwise noted. You are solely responsible for:
- Goods and services tax (GST), harmonized sales tax (HST), or provincial sales tax (PST)
- Remitting any required taxes to authorities if not collected by us
Free Trials and Promotions
We may offer free trials or promotional discounts at our discretion. At the end of a trial:
- Your access may be downgraded unless a paid plan is selected
- We reserve the right to revoke or alter trial offers at any time
- Only one free trial per organization is permitted unless stated otherwise
Price Changes
We reserve the right to update pricing with a minimum of 30 days' notice via email or in-platform message. Continued use of the Platform after the effective date will be considered acceptance of the revised pricing.
Failed Payments and Late Fees
If a payment attempt fails or is delayed:
- Access to certain features may be suspended
- Late fees or interest may apply (up to 1.5% per month or the maximum allowed by law)
- Your data may be retained temporarily, but analytics and insights will be inaccessible until payment is restored
Refund Policy
Unless otherwise specified in a signed agreement:
- All payments are final and non-refundable
- We do not provide refunds or credits for partial billing periods, unused services, or account downgrades
- Refunds may only be granted where required under local consumer protection laws
Disputed Charges
If you believe a charge was made in error, contact us in writing within 14 days of the charge. We will review and respond within a reasonable timeframe. Filing a chargeback without contacting us first may result in suspension of your account.
Custom Contracts
For enterprise customers or those under custom agreements, payment terms may differ. If a conflict exists between these Terms and a signed agreement, the signed agreement will take precedence.
7. Third-Party Services
Use of Third-Party Providers
Fisor Analytics integrates with and depends on a range of third-party services and infrastructure to deliver its Platform. These include, but are not limited to:
- Cloud hosting (e.g., Microsoft Azure)
- AI model APIs (e.g., OpenAI)
- Data processing engines (e.g., Apache Spark)
- Email and communication platforms
- Public dataset aggregators and government data portals
These providers operate independently and are not controlled by Fisor Analytics.
No Warranty or Liability for Third Parties
Fisor Analytics is not liable for any service interruptions, outages, bugs, or security vulnerabilities caused by third-party platforms. We are also not responsible for:
- Changes to third-party pricing, availability, or features
- API usage limits or imposed constraints
- The accuracy, completeness, or timeliness of external data sources
You acknowledge that these services are provided “as is” and “as available,” and may be subject to separate terms and privacy policies.
External Links and Embedded Tools
The Platform may contain links or embedded components that direct you to third-party websites, applications, or tools. These are provided for your convenience only. Fisor Analytics does not endorse or assume responsibility for their content, operations, or legal compliance.
Data Sharing and Processing
In order to provide services, your data may be shared with third-party providers for storage, processing, or computation. Examples include:
- Sending inputs to OpenAI for AI-generated responses
- Storing your business data on Microsoft Azure infrastructure
- Executing analytics via distributed processing platforms
All such subprocessors are contractually bound to confidentiality and data security obligations. We take reasonable steps to ensure they adhere to industry-standard protections.
User Responsibility
You are solely responsible for ensuring that your use of third-party services through the Platform complies with their respective terms and policies. Violating third-party terms may also result in a breach of these Terms of Service.
8. Disclaimers
Informational Use Only
All insights, forecasts, reports, and recommendations provided via the Platform are intended solely for informational purposes. They do not constitute financial, legal, tax, or investment advice. You are solely responsible for evaluating their applicability and making business decisions accordingly.
No Guarantees
We make no guarantee regarding the accuracy, completeness, timeliness, profitability, or reliability of any insight, forecast, or analytical output produced by the Platform. Business decisions made in reliance on Platform outputs are entirely at your own risk.
Past patterns or results identified by our system do not ensure or imply future performance or outcomes.
AI and Data Limitations
You understand and accept that:
- The Platform uses probabilistic, AI-based models that may produce inaccurate or unexpected results.
- External and public data sources may be outdated, incomplete, or contain inaccuracies.
- All outputs should be interpreted by qualified professionals before any real-world action is taken.
Fisor Analytics is not responsible for any adverse outcomes resulting from reliance on automatically generated insights.
Technical Availability
We strive to ensure consistent uptime but cannot guarantee uninterrupted or error-free availability. Service disruptions may occur due to updates, maintenance, third-party outages, or conditions beyond our control.
Service Changes
We reserve the right to modify, limit, enhance, or discontinue any feature of the Platform without prior notice. We are not liable for losses or disruptions resulting from such changes.
No Warranties
The Platform is provided “as is” and “as available.” To the fullest extent allowed by law, Fisor Analytics disclaims all warranties—express, implied, statutory, or otherwise—including:
- Implied warranties of merchantability or fitness for a particular purpose
- Warranties regarding non-infringement or uninterrupted use
- Any warranty arising from trade usage or prior dealings
9. Limitation of Liability
Maximum Liability Cap
To the fullest extent permitted by applicable law, Fisor Analytics’ total cumulative liability arising out of or relating to these Terms, your use of the Platform, or any insights generated shall not exceed the total amount you actually paid to Fisor Analytics in the twelve (12) months immediately preceding the claim.
If you are using the Platform under a free tier, evaluation access, or promotional trial, your sole remedy is to discontinue use of the Platform.
Exclusion of Indirect Damages
In no event shall Fisor Analytics, its officers, directors, employees, agents, contractors, affiliates, or licensors be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to:
- Loss of profits, revenue, or goodwill
- Loss or corruption of data
- Business interruption
- Reputational harm
- Costs of substitute services
- Inaccurate recommendations or forecasts
- Downtime, latency, or performance issues of the Platform
This exclusion applies regardless of the legal theory (contract, tort, negligence, strict liability, etc.), and even if we were advised of the possibility of such damages.
No Liability for Third-Party Failures
Fisor Analytics shall not be held liable for any failures, losses, or damages resulting from:
- Use of third-party APIs or services such as Microsoft Azure or OpenAI
- Outages, rate limits, or service changes from subprocessors or cloud providers
- Inaccuracies in public or external datasets
- Account misuse, credential compromise, or unauthorized access
Allocation of Risk
These limitations of liability are fundamental to the agreement between you and Fisor Analytics. The pricing and service levels offered are based on this allocation of risk, and you acknowledge that these terms represent a fair and reasonable limitation of liability.
10. Indemnification
You agree to fully indemnify, defend, and hold harmless Fisor Analytics Inc., its affiliates, officers, directors, employees, contractors, agents, licensors, partners, and successors from and against any and all third-party claims, demands, actions, liabilities, losses, damages, judgments, settlements, costs, and expenses (including reasonable attorneys' fees and court costs) arising out of or related to:
Your Use of the Platform
- Your access to or use of the Platform, Services, or any content generated therefrom
- Any decision or action taken based on the insights or reports provided by the Platform
Violation of Terms
- Your breach or alleged breach of these Terms
- Your failure to comply with applicable laws, regulations, or industry-specific guidelines
User-Submitted Content
- Any content, data, or materials submitted or uploaded by you that infringe intellectual property or privacy rights
- Content containing false, misleading, or defamatory statements
- Submissions that violate confidentiality agreements or contractual obligations
Security Incidents or Misuse
- Unauthorized access, data breaches, or misuse caused by your credentials, infrastructure, or environment
Third-Party Use
- Any claims arising from third-party use of your account or use of the Platform on your behalf
11. Termination
Termination by Fisor Analytics
We reserve the right to suspend or terminate your access to the Platform, in whole or in part, at any time and without notice, if we reasonably determine that:
- You have violated these Terms or any applicable law or regulation
- Your use of the Platform presents a legal, compliance, or security risk
- Your account has remained inactive for an extended period (e.g., over 12 months)
- Continued use would jeopardize the rights, safety, or experience of other users
- We are required to do so by law, court order, or governmental request
- You misuse or exploit Platform features, including abuse of trials or free access tiers
We may disable or permanently delete your account and related data unless retention is required by law or contract.
Termination by You
You may terminate your account at any time through your account settings or by contacting legal@fisoranalytics.org. Termination will take effect at the end of your current billing cycle unless otherwise agreed.
No refunds will be provided for prepaid amounts unless required by law or specified in a signed agreement.
Effects of Termination
Upon termination by either party:
- Your access to the Platform and services will be immediately revoked
- Your license and all rights granted under these Terms will expire
- We may retain anonymized or aggregated data for analytical or benchmarking purposes
- Any unpaid fees or obligations will remain due and enforceable
- Sections that logically survive termination—including those on intellectual property, disclaimers, liability limits, and legal jurisdiction—will continue to apply
12. Governing Law and Jurisdiction
These Terms, and any dispute, controversy, proceeding, or claim arising out of or in connection with them or your use of the Platform (collectively, a “Dispute”), shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.
Jurisdiction and Venue
You agree that all Disputes shall be submitted to the exclusive jurisdiction of the provincial or federal courts located in Toronto, Ontario. You waive any objection to such courts on the grounds of venue, jurisdiction, or inconvenient forum.
Injunctive Relief
Notwithstanding the foregoing, Fisor Analytics reserves the right to seek injunctive or equitable relief in any court of competent jurisdiction to prevent or stop unauthorized use, infringement, or misuse of its intellectual property or confidential information.
Non-Exclusivity of Remedies
The exercise of any remedy under these Terms does not limit or preclude other available legal remedies, including claims for monetary damages, equitable relief, or termination of access.
13. Force Majeure
Fisor Analytics shall not be liable for any delay or failure to perform its obligations under these Terms due to causes beyond its reasonable control (“Force Majeure Events”). These may include, but are not limited to:
- Natural disasters (e.g., floods, earthquakes, storms)
- Acts of God
- Pandemics or epidemics
- Acts of war, terrorism, or civil unrest
- Government restrictions or regulatory actions
- Labor disputes or strikes
- Failures in power, telecommunications, internet service, or hosting infrastructure
- Cyberattacks, ransomware, or denial-of-service (DoS) attacks
- Third-party outages or breaches affecting dependent services
Duty to Mitigate
We will make reasonable efforts to resume service as soon as practicable following a Force Majeure Event. However, we are not obligated to provide refunds, credits, or compensation for downtime or disruptions resulting from such events.
Notification
In the event of a Force Majeure Event, we will notify impacted users as soon as reasonably possible using the contact information associated with your account or via in-platform notifications.
Extended Outage
If a Force Majeure Event continues for more than thirty (30) consecutive days, either party may terminate the affected services with written notice. In such cases, neither party shall be held liable for non-performance, except for fees owed for services already delivered prior to termination.
14. Export Compliance
The Platform, including its content, software, code, and underlying technology, may be subject to export control laws and regulations of Canada, the United States, and other jurisdictions. Use of the Platform must comply with all applicable export rules and restrictions.
User Obligations
By accessing or using the Platform, you represent and warrant that:
- You are not located in, under the control of, or a national or resident of any country or territory subject to embargoes, sanctions, or export restrictions issued by Canada, the United States, or other relevant authorities
- You are not listed on any government watchlist or denied party list, including:
- U.S. Treasury Department’s Specially Designated Nationals (SDN) List
- U.S. Commerce Department’s Entity List
- Canada’s Consolidated Sanctions List
Prohibited Uses
You may not use the Platform:
- In violation of export, re-export, or transfer controls
- To support the development, manufacture, or distribution of nuclear, missile, or chemical/biological weapons
- To engage in or facilitate activities restricted under anti-terrorism, national security, or international peacekeeping laws
Responsibility
You are solely responsible for ensuring that your use of the Platform complies with all applicable export control laws. Fisor Analytics disclaims any liability arising from your non-compliance or illegal use.
15. Entire Agreement
These Terms, along with our Privacy Policy, any applicable order forms, enterprise agreements, and product-specific terms (if provided in writing), constitute the entire agreement between you and Fisor Analytics with respect to your use of the Platform.
Supersession of Prior Agreements
These Terms supersede all prior or contemporaneous oral or written communications, proposals, representations, warranties, negotiations, or agreements between you and Fisor Analytics regarding the subject matter herein.
Any earlier versions of our terms, drafts, or sales communications are considered void upon your acceptance of the current Terms.
No Reliance on External Representations
You acknowledge that you are not relying on any representations, assurances, or guarantees that are not explicitly stated in these Terms or in a mutually signed written agreement.
Precedence of Custom Agreements
If there is a conflict between these Terms and a signed enterprise or custom agreement, the signed agreement will prevail—but only with respect to the specific products or services it covers.
16. Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court or authority of competent jurisdiction, that provision shall be limited, modified, or eliminated to the minimum extent necessary to render it enforceable, so that the remainder of the Terms will continue in full force and effect.
Closest Permissible Interpretation
If any clause is found unenforceable, the remaining Terms will be interpreted to reflect the original intent of the parties as closely as possible under applicable law.
No Waiver of Other Terms
The invalidity or unenforceability of any one provision shall not affect the validity or enforceability of the remaining provisions of these Terms.
17. No Waiver
No failure or delay by Fisor Analytics in exercising any right, remedy, or power under these Terms shall be deemed a waiver of that or any other right or remedy.
Written Waiver Requirement
Any waiver of any provision of these Terms will only be valid if it is provided in writing and signed by an authorized representative of Fisor Analytics.
No Implied Waiver
No single or partial exercise of any right or remedy will prevent further exercise of that or any other right or remedy. A waiver of any one breach does not constitute a waiver of any future or subsequent breaches.
18. Changes to These Terms
Fisor Analytics reserves the right to modify or update these Terms at any time, in whole or in part, for legal, regulatory, technical, or business reasons.
Notice of Changes
We will provide notice of material changes via email, in-platform notifications, or a prominent notice on our website. The “Last updated” date at the top of this page will be revised accordingly to reflect the latest version.
Continued Use Equals Acceptance
By continuing to access or use the Platform after the effective date of any revised Terms, you agree to be bound by the updated Terms. If you do not accept the changes, you must discontinue use of the Platform immediately.
